PRICES AND PAYMENT

1 All prices are in EUR ex works (Incoterms 2012) plus packaging, shipping, statutory sales tax, for export deliveries plus customs, fees and other public charges. The shipping costs for other European countries can be found in the shipping costs list in the delivery conditions.

2 If the delivery date is more than four months after the conclusion of the contract, Ölwerk is entitled to increase the prices appropriately and to adapt them to changed price bases (material, wages, etc.). The prices valid on the day of delivery then apply.

3 Payment can be made either by PayPal, credit card or prepayment. Payment by leasing or hire purchase is possible upon request and review.

4 If the payment method is prepayment, the customer receives the bank details from Ölwerk in the order confirmation or afterwards. The invoice amount must be transferred to the Ölwerk account within 5 days.

5 If the customer is in default of payment, the purchase price shall be subject to interest at a rate of 5% above the base rate during the default. Ölwerk reserves the right to prove and assert higher damage caused by default. Upon receipt of the 2nd reminder, an additional fee of EUR 7.50 will be charged.

6 Offsetting against payment claims of the customer or the retention of payments due to such claims is only permitted with undisputed or legally established claims.

7 If, after the conclusion of the contract, circumstances become known that are likely to significantly reduce the creditworthiness of the customer or endanger the payment of the outstanding claims from the respective contractual relationship, Ölwerk is entitled to provide the outstanding deliveries and services only against advance payment or security.

SHIPPING

1 Unless otherwise stipulated by the parties, the place of performance for all obligations arising from the contractual relationship is the registered office of Ölwerk.

2 The type of shipment and the packaging are subject to the dutiful discretion of Ölwerk.

3 When the delivery item is handed over to the forwarding agent, carrier or any other third party appointed to carry out the shipment, the risk is transferred to the customer. This also applies if partial deliveries are made or the seller has taken on other services (e.g. installation). If the dispatch is delayed due to circumstances for which the customer is responsible, the risk is transferred to the customer at the time when Ölwerk is ready for dispatch and has reported this to the customer.

4 Storage costs after transfer of risk are borne by the customer. If the storage is carried out by Ölwerk, the storage costs per expired week amount to 0.25% of the invoice amount for the delivery items to be stored. The right to claim and provide evidence of additional or lower storage costs is reserved.

DELIVERY

1 Deliveries are made ex works (EXW) in accordance with Incoterms 2012. It is expressly agreed that delivery will be carried out by a transport company selected and commissioned by the seller. It is expressly agreed that the transport company only delivers to the curb. The delivery costs within Germany are free for the customer.

2 Irrespective of its rights in the event of default by the customer, Ölwerk can request an extension of the delivery and service deadlines by the period in which the customer does not meet his contractual obligations.

3 Ölwerk is not liable for the impossibility of delivery or service or for delays in delivery insofar as these are caused by force majeure or other events not foreseeable at the time the contract was concluded for which Ölwerk was not responsible. If such events make the delivery or service significantly more difficult for Ölwerk or make it impossible and the hindrance is not only of a temporary nature, Ölwerk is entitled to withdraw from the contract. In the case of hindrances of only temporary duration, the delivery or service deadlines are extended or postponed by the period of the hindrance plus a reasonable start-up period.

4 If the customer cannot be expected to accept the delivery or service due to the delay, he can withdraw from the contract with an immediate written declaration to Ölwerk.

5 Ölwerk is entitled to make partial deliveries as long as the customer does not incur any significant additional work and / or additional costs, the partial delivery can be used by the customer within the scope of the contractual intended purpose and the delivery of the remaining goods ordered is assured.

6 The customer is obliged to have any recognizable transport damage certified by the transport company immediately upon receipt in order to claim compensation from the transport company. Ölwerk will endeavor to assist the customer in handling transport damage. Damage that is not externally visible must be reported to the carrier by telephone and in writing as soon as they are known. The customer is solely responsible for adhering to the deadline and handling the transport damage. As the recipient, the customer is entitled to assert claims against the transport company from the freight contract in accordance with Section 421 of the German Commercial Code in his own name.
